TaskMasters will exercise its best efforts to complete the services in a professional and diligent manner, on schedule and at the price stated. TaskMasters shall supply, at TaskMasters’s sole expense, all necessary off-site equipment, software, tools, materials, and/or supplies, to perform the services. Confidentiality: TaskMasters acknowledges that it will be necessary for client to disclose certain confidential and proprietary information to TaskMasters in order for TaskMasters to perform services. TaskMasters acknowledges that disclosure or misuse of this proprietary or confidential information would bring irreparable harm Client. Accordingly, TaskMasters will not disclose or use, either during or after services are performed, any proprietary or confidential information of client except to the extent necessary to perform services on client has requested. TaskMasters shall maintain the Information in confidence with the same degree of care it holds its own confidential information.Payment: Client agrees to pay TaskMasters within 30 days after TaskMasters submits an invoice to Client. TaskMasters will invoice Client for services performed within 10 business days of performance. Cancellation Fee: Client agrees to notify TaskMasters of cancellation with a minimum of 24 hours. If client sends notice in less than 24 hours prior to the scheduled service, client agrees to pay a $25 cancelation fee. Third Party Vendor: TaskMasters is a third-party company, neither TaskMasters nor TaskMasters's employees or contract personnel are, or shall be deemed, client's employees. In its capacity as an independent TaskMasters, TaskMasters agrees and represents, and client agrees, as follows, TaskMasters has the right to hire assistants as sub TaskMasterss or to use employees to provide the services.Client will not require TaskMasters to rent or purchase any equipment, product, software to perform services. Business Licenses, Permits, and Certificates: TaskMasters represents and warrants that TaskMasters and contract personnel will comply with all federal, state, and local laws requiring drivers and other licenses, business permits, insurance and certificates required to carry out the services to be performed. Indemnification: TaskMasters shall indemnify and hold Client harmless from any loss or liability arising from performing services. Client agrees to indemnify and hold TaskMasters harmless against all claims, demands, suits, liabilities, losses, damages or injuries (collectively “Liabilities”) that arise out of Client’s use of the services, except to the extent such Liabilities result from the negligence or wrong doing of TaskMasters. Dispute: If a dispute arises, the parties agree to first try to resolve the dispute and mutually agree upon a resolution prior to seeking legal representation. Should legal representation be needed, each party agrees to pay for their own representation. Assignment: TaskMasters hereby assigns to the client all right, title, and interest in any and all photographic images and videos or audio recordings made TaskMasters’s during the performance of services. Force Majeure: Neither Client nor TaskMasters shall be liable for failure of or delay in performing obligations set forth in this Agreement, and neither shall be deemed in breach of its obligations, if such failure or delay is due to natural disasters or any causes reasonably beyond the control of Client or TaskMasters.
